    Clients understand that meaningful business improvement often requires effort, discipline, transparency, operational accountability, employee cooperation, capital allocation, timely communication, professional review, and willingness to implement necessary changes. Evergreen Continuity Partners shall not be responsible for a client’s refusal, inability, delay, inconsistency, mismanagement, emotional decision-making, lack of follow-through, or failure to properly execute strategies discussed during an engagement.

  • Due to the highly customized nature of Evergreen Continuity Partners services, all pricing, retainers, advisory fees, consulting structures, operational engagements, strategic reviews, implementation guidance, and project structures are determined individually on a case-by-case basis. Fees may vary based on the company’s size, operational complexity, urgency, strategic demands, time allocation, advisory depth, AI implementation scope, restructuring complexity, third-party coordination, travel requirements, ongoing accessibility, and the level of involvement requested or required.

Retainers reserve strategic availability, intellectual capacity, advisory access, time allocation, and the ability of Evergreen Continuity Partners to make itself available for the client’s business needs. Consulting value is not limited to hours worked or documents produced.     Evergreen Continuity Partners is under no obligation to provide refunds for unused time, delayed communication, postponed implementation, scheduling conflicts, client indecision, failure to provide information, failure to attend meetings, changes in business conditions, dissatisfaction with strategic conclusions, disagreement with recommendations, lack of implementation, or outcomes outside the control of Evergreen Continuity Partners. Once advisory time, strategic analysis, consultation, review, or intellectual work has been reserved, delivered, or made available, that value cannot be returned.

    Invoices not paid within the agreed terms may result in suspension of services, cancellation of meetings, revocation of strategic access, pause of work product, late fees where legally permissible, termination of the engagement, collection activity, or other lawful enforcement action. Chargebacks, payment reversals, fraudulent disputes, or attempts to avoid agreed payment obligations after services, consultations, analysis, strategic guidance, or advisory time has been provided may result in immediate termination of services, legal enforcement actions where applicable, collection efforts, reporting to payment processors, and refusal of future services.

Internet communication is never fully immune from cyberattacks, breaches, outages, unauthorized access, technical failures, human error, platform compromise, or third-party misuse. Clients share information voluntarily and assume the ordinary risks associated with digital communication and online business operations.

    Clients are responsible for protecting their own devices, passwords, credentials, bank records, accounting systems, employee records, internal documents, customer data, intellectual property, trade secrets, and company systems. Evergreen Continuity Partners shall not be responsible for unauthorized access caused by client negligence, weak passwords, insecure devices, compromised accounts, third-party platforms, vendor failures, or circumstances outside the company’s reasonable control.

    Nothing in this confidentiality section shall prevent Evergreen Continuity Partners from preserving, disclosing, or using information where reasonably necessary to enforce agreements, defend legal claims, prevent fraud, respond to legal process, protect company rights, comply with applicable law, prevent harm, investigate misuse, or address payment disputes, chargebacks, threats, abusive conduct, or unlawful activity.

    Clients may receive access to certain materials, frameworks, documents, or strategic concepts during the course of an engagement solely for their internal business use and only in connection with the specific services provided. Such access does not transfer ownership, authorship, licensing rights, resale rights, publication rights, derivative rights, or unrestricted usage rights unless expressly stated in a written agreement.

    Clients may not resell, republish, redistribute, reproduce, license, copy, reverse engineer, commercialize, train AI systems on, publicly present as their own, or claim ownership over any proprietary materials, strategies, processes, frameworks, written work, AI workflows, operational systems, consulting structures, or related intellectual property without prior written consent from Evergreen Continuity Partners.

    Any unauthorized use, reproduction, distribution, or misappropriation of Evergreen Continuity Partners intellectual property may result in termination of services, revocation of access, legal enforcement, damages claims, injunctive relief, or other remedies available under applicable law.

  • Evergreen Continuity Partners may discuss, reference, review, compare, suggest, or coordinate with third-party software providers, AI platforms, lenders, vendors, agencies, contractors, professionals, marketing platforms, CRM systems, automation tools, payment processors, accountants, attorneys, consultants, technical providers, or other service providers.     Clients are solely responsible for conducting their own due diligence before engaging any third-party service provider. This includes reviewing contracts, pricing, licenses, compliance requirements, security practices, service limitations, refund policies, terms of use, professional qualifications, insurance coverage, data practices, and any associated legal or financial risks.

    Evergreen Continuity Partners shall not be responsible for third-party failures, vendor performance, platform outages, lending decisions, tax outcomes, advertising outcomes, AI errors, software malfunctions, data loss, contractor conduct, professional negligence, missed deadlines, security breaches, pricing changes, service interruptions, implementation failures, or any damages arising from a client’s use of third-party services.

    Any client decision to engage a third party is made independently and at the client’s own discretion and risk, even if such third party was discussed during a consultation or referenced as a possible resource.

  • Evergreen Continuity Partners may discuss, recommend, assist with, review, design, help implement, or provide strategic guidance regarding modern technologies including AI systems, automation systems, software workflows, operational platforms, digital marketing systems, content systems, analytics tools, CRM systems, data organization tools, website systems, and related technologies. These technologies may be powerful, useful, and strategically valuable, but they are also evolving, imperfect, and dependent on proper implementation, review, monitoring, and human judgment.

    Clients acknowledge that AI systems may produce inaccurate, incomplete, biased, outdated, misleading, fabricated, or inappropriate outputs. Automation systems may fail, software platforms may change without notice, integrations may break, data may be misread, permissions may be configured incorrectly, and technology tools may not perform as expected. No AI system, automation workflow, or software recommendation should be relied upon without human review and appropriate professional oversight where necessary.

    Evergreen Continuity Partners does not guarantee AI performance, automation reliability, software uptime, technical compatibility, future platform stability, regulatory compliance of third-party tools, data accuracy, implementation success, cybersecurity strength, advertising performance, SEO outcomes, content performance, or operational transformation resulting from any technology-related discussion or implementation.

AI and automation should never replace licensed legal, financial, tax, accounting, compliance, securities, insurance, or professional review where such review is required or appropriate.

  • To the fullest extent permitted by applicable law, Evergreen Continuity Partners, including its owners, operators, contractors, consultants, affiliates, representatives, advisors, partners, vendors, employees, licensors, successors, and assigns, shall not be liable under any circumstance for indirect damages, consequential damages, special damages, punitive damages, incidental damages, lost profits, lost business opportunities, lost enterprise value, lost goodwill, lost financing opportunities, lost acquisitions, operational interruptions, AI implementation failures, technology disruptions, software errors, automation failures, market losses, tax liabilities, accounting discrepancies, regulatory actions, legal disputes, vendor disputes, employee disputes, data breaches, cybersecurity incidents, reputation damage, economic downturns, business closure, emotional distress, mental distress, future opportunity losses, strategic disagreements, third-party conduct, government actions, market volatility, lending denials, compliance failures, or misinterpretation of guidance.

Economic conditions may negatively impact all strategies discussed. AI systems may produce inaccurate outputs. Technology platforms may fail unexpectedly. Employees, vendors, customers, lenders, regulators, investors, buyers, sellers, and other third parties may act unpredictably or contrary to expectations.

    Evergreen Continuity Partners shall not be liable for any actions taken or not taken by clients, vendors, lenders, accountants, attorneys, employees, agencies, contractors, software providers, buyers, sellers, investors, partners, family members, or third parties. Under no circumstance shall Evergreen Continuity Partners be responsible for client implementation decisions, internal employee behavior, vendor failures, financing failures, tax outcomes, legal interpretations, securities interpretations, market conditions, investment outcomes, operational execution failures, technology compatibility issues, AI hallucinations or inaccuracies, advertising outcomes, SEO performance, software uptime, third-party integrations, or business decisions made by the client.

    Maximum aggregate liability under any theory of law, whether contract, tort, negligence, strict liability, statutory claim, equitable claim, or otherwise, shall never exceed the total amount directly paid by the client to Evergreen Continuity Partners during the thirty (30) days immediately preceding the event giving rise to the claim. Clients further agree that Evergreen Continuity Partners shall not be liable for claims arising more than ninety (90) days after the alleged event occurred, and any claim not raised within that period shall be considered waived to the fullest extent permitted by law.

    Clients waive any right to seek class action participation, punitive damages, consequential damages, emotional distress damages, speculative future damages, lost opportunity calculations, or damages based on hypothetical business outcomes. All claims must first be attempted to be resolved through good-faith negotiation prior to formal legal action.

  • 13. INDEMNIFICATION

    Clients agree to indemnify, defend, and hold harmless Evergreen Continuity Partners and all related owners, operators, representatives, affiliates, contractors, consultants, advisors, partners, vendors, employees, successors, and assigns from and against any claims, liabilities, damages, disputes, legal actions, losses, costs, fees, judgments, settlements, penalties, investigations, or expenses arising out of or related to client decisions, misuse of services, regulatory violations, fraudulent activity, client negligence, unauthorized implementation of strategies, third-party disputes, breach of these terms, inaccurate information provided by the client, unlawful conduct, improper reliance on general consulting guidance, or disputes with employees, vendors, lenders, buyers, sellers, investors, partners, regulators, customers, family members, or other third parties.

    This indemnification obligation includes reasonable attorney fees, collection costs, investigation costs, defense costs, and other expenses incurred by Evergreen Continuity Partners in responding to claims, disputes, allegations, chargebacks, legal actions, government inquiries, or third-party demands arising from the client’s conduct, business operations, representations, omissions, or implementation decisions.

    The obligations in this section shall survive termination of services, cancellation of engagements, completion of projects, expiration of agreements, or discontinued use of the website.
